Terms of Service

Effective date: [ date ]. These terms apply to the English-language version of optaloc.com and to location reports ordered through it, in every US state. Company details in square brackets are to be completed before publication.

1. The service

[ legal entity name ] (“we”) prepares location-analysis reports for retail and service businesses in the United States. Every engagement is agreed individually: you send a brief, we reply with a written scope and a fixed price, and work starts after your written approval. The written scope together with these terms is the whole agreement for that engagement.

2. What a report is — and is not

  • A report ranks candidate locations using public and open data (US Census and ACS, closed-sale prices by ZIP, points of interest, transit timetables, pedestrian counters) and our models. Every number carries a confidence flag that says whether it is a measurement or an estimate.
  • A report is decision support. It is not a revenue forecast, an appraisal, a feasibility opinion, or legal, financial, tax or real-estate advice, and it does not guarantee the commercial performance of any location or the availability of any unit.
  • Data sources have their own coverage and errors and change over time; the report states its data date and says where data is thin or missing.
  • You decide. Leases, purchases and openings are your decisions, made on your own judgement and with your own advisors.

3. Price and payment

The price is fixed in the written scope. Unless the scope says otherwise, it is invoiced on delivery of the report and due within 14 days. Prices shown on the website are indicative starting points, not offers. Prices exclude sales or use taxes where such taxes apply.

4. Delivery and changes

Delivery times are counted in business days from your approval. If we need information from you, the clock pauses until we receive it. Changes to the scope after approval are agreed in writing and may change the price and the delivery date. Either side may cancel before delivery; you pay for the work done up to the cancellation.

5. Use of the report

Once paid, the report is yours to use for the location decision it was made for: internally and with your partners, landlords, lenders and advisors. You may not resell the report, publish its data sets, or use it to build a competing service. Third-party data in the report stays subject to its own licences, which are listed in the report. We keep the right to use anonymized, aggregated learnings from engagements to improve our models.

6. Confidentiality

We keep your brief, your candidate addresses and your business plans confidential and do not name you as a client without your consent.

7. Warranties and liability

We will prepare the report with reasonable care and skill using the sources and methods described in it. To the fullest extent permitted by law, we give no other warranty, express or implied, including fitness for a particular purpose, and our total liability for an engagement is limited to the fee paid for that engagement. We are not liable for indirect, incidental or consequential losses, including lost profits, arising from decisions made using the report. Some states do not allow certain limitations; in those states, our liability is limited to the extent the law allows.

8. Disputes

If something goes wrong, tell us first at [ email ] — most issues are fixed by a corrected report. Disputes that cannot be resolved that way are governed by the laws of the state in which [ legal entity name ] is organized, without regard to conflict-of-law rules, and brought in the state or federal courts located there, unless the law of your state requires otherwise. Nothing in these terms limits rights that consumer-protection law gives you and that cannot be waived.

9. Changes to these terms

We may update these terms for future engagements; the version in force when you approve a scope applies to that engagement.
